Naitra Terms of Service

These terms are an agreement between Naitra LLC, a Wisconsin limited liability company ("Naitra"), and the organization accepting them ("Customer"). By creating an account or using the service, Customer agrees to these terms.

1. The service

Naitra is an AI audit execution platform: it helps internal audit teams plan audits, author and run testing, evaluate evidence, draft findings, and produce reports. Naitra is provided as a subscription over the internet. During the beta period, features marked as roadmap items are not yet available, and the service may change as it matures.

2. Accounts and acceptable use

Customer is responsible for its users, their credentials, and the accuracy of information it provides. Customer will not: use the service to violate law or the rights of others; attempt to gain unauthorized access to the service or other customers' data; probe or test the service's security except through the responsible disclosure process at naitra.ai/security; resell the service without written agreement; or upload malicious code.

3. Customer data

Customer owns its data: the evidence, matrices, findings, reports, and other content it puts into Naitra. Naitra receives only the rights needed to run the service: to host, process, transmit, and display Customer data to provide the features Customer uses. Naitra will not use Customer data to train AI models and will not sell it. Data handling details are in the Privacy Policy and the Data Processing Addendum, which are part of these terms for business customers.

4. The role of AI, and the limits of it

Naitra uses artificial intelligence to draft testing procedures, evaluate evidence, and propose findings. AI output can be wrong. Naitra is designed so that a qualified human reviews and approves work before it is finalized, and Customer agrees to use it that way: every conclusion, finding, and report remains the professional responsibility of Customer and its auditors. Naitra is a tool; it does not provide audit, legal, accounting, or other professional opinions, and its output does not constitute professional advice or an attestation. Customer's compliance with laws, regulations, and professional standards applicable to its audit work remains Customer's responsibility.

5. Fees

Fees, seat counts, and subscription terms are set in the order or plan Customer accepts. Fees are billed annually in advance unless agreed otherwise and are non-refundable except where required by law or expressly stated. Naitra may change pricing at renewal with at least 30 days notice. Early adopter rates are honored for the period stated when they were offered.

6. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these terms. This obligation survives termination for three years, and for as long as trade secrets remain trade secrets.

7. Intellectual property

Naitra owns the service, its software, and its content templates. Customer owns its data and its audit work product. Feedback Customer chooses to give may be used by Naitra to improve the service without obligation.

8. Warranties and disclaimers

Naitra warrants it will provide the service with reasonable skill and care. Otherwise, the service is provided as is, and Naitra disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Naitra does not warrant that the service will be uninterrupted or error-free, or that AI output will be accurate or complete.

9. Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues; and each party's total liability under these terms is capped at the fees Customer paid to Naitra in the 12 months before the event giving rise to the claim. These limits do not apply to Customer's payment obligations, either party's breach of confidentiality, or liability that cannot be limited by law.

10. Term, suspension, and termination

These terms apply while Customer has an account. Either party may terminate for material breach not cured within 30 days of written notice. Naitra may suspend access immediately for security threats, legal requirements, or non-payment. On termination, Customer may export its data for 30 days, after which it is deleted per the Data Processing Addendum, subject to any active evidence immutability retention periods.

11. General

These terms are governed by the laws of the State of Wisconsin, and disputes will be brought in the state or federal courts located in Wisconsin, each party consenting to that venue. Neither party may assign these terms without the other's consent, except to a successor in a merger or sale of substantially all assets. If a provision is unenforceable, the rest remains in effect. These terms, the Privacy Policy, the Data Processing Addendum, and any order form are the entire agreement. Naitra may update these terms with notice; continued use after the effective date of changes is acceptance.
